Welcome to SWEET SUCCESS APP LTD., operating as Sweet Success ("Sweet Success," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our web-based software platform and related services (collectively, the "Service") available at https://sweetsuccess.app.
Sweet Success is a software-as-a-service (SaaS) platform designed to help home and cottage bakers calculate costs, recipes, pricing, and manage business operations. The Service is provided "as-is" without guarantees of accuracy, performance, completeness, or fitness for any particular purpose.
You must be at least 18 years of age and capable of forming a legally binding contract to use Sweet Success. By using the Service, you represent and warrant that you meet these eligibility requirements and are not barred from using the Service under applicable law.
(a) Account Creation: To access the Service, you must create an account with accurate, current, and complete information. You agree to promptly update your account information to maintain its accuracy.
(b) Account Security: You are solely responsible for safeguarding your account credentials and all activities that occur under your account. You must immediately notify us of any unauthorized access, security breach, or suspected compromise at support@sweetsuccess.app.
(a) Subscription Plans: Sweet Success offers monthly and annual subscription plans. All fees are billed in U.S. Dollars (USD) through our third-party payment processor, Stripe, Inc.
(b) Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your designated payment method for recurring subscription fees.
(c) No Refunds: All sales are final. We do not provide refunds or credits for partial subscription periods, unused features, or dissatisfaction with the Service, except where required by law.
(d) Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your current paid period, after which your subscription will not renew.
(e) Failed Payments & Chargebacks: If payment fails or you initiate a chargeback, we may immediately suspend or terminate your account and access to the Service. You will remain liable for all unpaid fees, plus any collection costs or chargeback fees incurred.
(f) Price Changes: We reserve the right to modify subscription prices with at least 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
(g) Taxes: You are solely responsible for all applicable taxes (sales tax, VAT, GST, etc.) arising from your use of the Service or your business operations. Subscription fees are exclusive of all taxes.
The Service is currently in its development phase and is subject to ongoing technical improvements, feature enhancements, and architectural refinements. Users acknowledge that development-phase software may not guarantee data persistence or availability at all times, and computational outputs should be independently verified for business-critical decisions. Service uptime and performance are not guaranteed under a Service Level Agreement (SLA), and functionality may be modified, enhanced, or deprecated as the platform evolves. The Service is provided "as-is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for any damages, losses, or consequences resulting from your use of the Service during its development phase. You acknowledge that performance, availability, data reliability, and feature completeness may vary, and you should not rely solely on Sweet Success for critical business decisions without independent verification.
You agree NOT to:
(a) Sweet Success Ownership: All software, code, designs, logos, trademarks, documentation, and other materials comprising the Service are the exclusive property of SWEET SUCCESS APP LTD. and its licensors. All rights not expressly granted are reserved.
(b) Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license terminates upon your account termination or breach of these Terms.
(c) User Content: You retain ownership of recipes, business data, customer information, and other content you upload ("User Content"). You grant us a worldwide, non-exclusive license to use, store, display, and process your User Content solely as necessary to provide and improve the Service. You represent that you have all necessary rights to your User Content.
(a) Privacy Policy: Your use of the Service is governed by our Privacy Policy, available at [link]. We comply with applicable privacy laws including PIPEDA (Canada), GDPR (EU/UK), and data protection laws in the United States, Australia, and New Zealand.
(b) Data Controller/Processor Roles: You are the data controller for any personal data you input into the Service. Sweet Success acts as a data processor on your behalf. You are responsible for complying with applicable privacy laws regarding your customers' data.
(c) Data Retention & Deletion: Upon account termination, your data may be retained for up to 90 days for recovery purposes, after which it will be permanently deleted. You may request data deletion at any time by contacting support@sweetsuccess.app.
(d) Data Export: You may export your data at any time through the Service's export functionality or by requesting a data export from our support team.
The Service relies on third-party providers including but not limited to:
We are not responsible for any failures, errors, downtime, data breaches, or other issues caused by third-party services. Your use of third-party services may be subject to their own terms and policies.
Sweet Success provides cost calculation, pricing, and business management tools for informational purposes only. The Service does not constitute accounting, financial, legal, tax, or business consulting advice. You should consult qualified professionals such as accountants, lawyers, or business advisors before making important business decisions. We are not liable for any decisions you make based on the Service, and the tools are intended to supplement, not replace, professional guidance.

The Service is provided "as is" and "as available" with all faults and without warranty of any kind. To the maximum extent permitted by law, SWEET SUCCESS APP LTD. expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We disclaim warranties regarding accuracy, reliability, completeness, or timeliness of the Service, and make no warranties that the Service will be uninterrupted, secure, or error-free, that data will be preserved without loss or corruption, or that calculations, recommendations, or results will be accurate. Some jurisdictions do not allow disclaimer of implied warranties. In such cases, the above disclaimers may not apply to you, and our liability is limited to the minimum extent required by law.
To the maximum extent permitted by law, SWEET SUCCESS APP LTD., its directors, officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, or data, business interruption or opportunity costs, damages arising from Service errors, bugs, or inaccuracies, damages from data loss, corruption, or unauthorized access, damages from third-party service failures, or damages from reliance on Service calculations or recommendations, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising from or related to the Service shall not exceed the total fees you paid to Sweet Success in the twelve (12) months immediately preceding the claim. If you are using a free trial or free tier, you agree that our total liability shall be zero dollars ($0 USD). Some jurisdictions (including Australia, New Zealand, and the EU) do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such cases, our liability is limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless SWEET SUCCESS APP LTD., its parent company, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and costs) arising from or related to: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your violation of any law or regulation; (d) your User Content or business operations; (e) infringement of any third-party rights; or (f) any business decisions you make based on the Service.
(a) Termination by You: You may terminate your account at any time by canceling your subscription through account settings or contacting support.
(b) Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason including but not limited to: (i) breach of these Terms; (ii) non-payment; (iii) fraudulent activity; (iv) violation of law; (v) misuse of the Service; or (vi) at our sole discretion.
(c) Effect of Termination: Upon termination: (i) your right to use the Service immediately ceases; (ii) we may delete your account and data after applicable retention periods; (iii) you remain liable for all fees incurred prior to termination; and (iv) Sections 7–21 of these Terms survive termination.
(d) Data Recovery: You should export your data before termination. We may provide a grace period for data recovery at our discretion, but we are not obligated to do so.
We shall not be liable for any failure or delay in performance of the Service due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, labor disputes, internet outages, power failures, third-party service disruptions, cyberattacks, government actions, or changes in laws or regulations.
(a) Informal Resolution First: Before filing any formal dispute, you agree to contact us at legal@sweetsuccess.app and attempt to resolve the issue informally for at least 30 days.
(b) Binding Arbitration (Where Permitted): If informal resolution fails, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English in Delaware, USA (or remotely via video conference). The arbitrator's decision shall be final and binding.
(c) Class Action Waiver (Where Permitted): YOU AND SWEET SUCCESS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
(d) Exceptions: Either party may seek injunctive or equitable relief in court for intellectual property infringement or breach of confidentiality obligations.
(e) Jurisdictional Variations: If you are located in a jurisdiction where arbitration clauses or class action waivers are not enforceable for consumer contracts (e.g., Quebec, EU member states), the dispute resolution provisions of your local jurisdiction shall apply.
(a) General: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
(b) Venue: Subject to Section 17 (Arbitration), any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
(c) International Users: If you access the Service from outside the United States, you acknowledge that your data may be transferred to, stored, and processed in the United States or other countries where our servers are located. You consent to such transfer and processing.
(a) Right to Modify: We reserve the right to modify, amend, or update these Terms at any time in our sole discretion.
(b) Notice of Changes: For material changes, we will provide notice via email (to the address associated with your account) or through a prominent notice on the Service at least 30 days before the new terms take effect.
(c) Acceptance: Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
(d) Current Version: The most current version of these Terms will always be available at sweetsuccess.app/terms.
(a) Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sweet Success regarding the Service and supersede all prior agreements and understandings.
(b) Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
(c) Waiver: No waiver of any term or condition shall be deemed a continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
(d) Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate, successor, or acquirer without restriction.
(e) No Agency: No agency, partnership, joint venture, or employment relationship is created between you and Sweet Success as a result of these Terms or your use of the Service.
(f) Survival: Sections 7 (Intellectual Property), 8 (Data & Privacy), 10 (No Professional Advice), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 20 (General Provisions) shall survive termination of these Terms.
